These Terms govern your access to and use of the Blackboard Buddy School Management System and related websites, mobile apps, and services.
"Customer" means the institution (e.g., school, district, or group) that purchases or trials the Service. "Users" are individuals authorized by the Customer (staff, students, guardians). "Customer Data" means information submitted to the Service by or on behalf of the Customer, including Student & Guardian Data.
Users must be authorized by the Customer and provide accurate information. You are responsible for safeguarding credentials and actions under your account.
Customer retains ownership of Customer Data. When processing Customer Data, Blackboard Buddy acts as a processor/service provider and processes such data solely on the Customer’s written instructions and applicable law. See our Privacy Policy.
Integrations (e.g., payment gateways, messaging, GPS) are provided by third parties under their terms. We are not responsible for third‑party services but will use reasonable efforts to maintain secure integrations.
Each party will protect the other’s confidential information with reasonable care and use it only as permitted. We implement administrative, technical, and physical safeguards designed to protect Customer Data.
We retain all rights in and to the Service and software. Customer retains all rights in Customer Data. By submitting feedback, you grant us a non‑exclusive, worldwide, royalty‑free license to use it to improve the Service.
Optional, may change, and provided “as is.”
We aim for high availability and timely support. We may modify features or update the Service to improve performance or security. Material changes will be communicated where appropriate.
EXCEPT AS EXPRESSLY PROVIDED IN AN ORDER FORM, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUE. EACH PARTY’S TOTAL LIABILITY IS LIMITED TO FEES PAID OR PAYABLE IN THE PRIOR TWELVE (12) MONTHS.
Each party will defend and indemnify the other against third‑party claims arising from (a) breach of these Terms; (b) violation of law; or (c) for Blackboard Buddy, an allegation that the Service infringes a third‑party intellectual property right (subject to conditions).
These Terms are governed by the laws of [Your jurisdiction], excluding its conflict‑of‑law rules. The parties consent to the exclusive jurisdiction and venue of the courts located in [City/Region].
We may update these Terms. We will post the revised version with a new “Last updated” date and, where appropriate, notify administrators by email or in‑product message.
